Welcome to Yodo!

We've prepared these Terms of Service (referred to as the "Terms") to inform you of the rules governing our relationship with you. While we've simplified the language, please be aware that these Terms still form a legally binding agreement between you and Yodo App By using our services, you accept these Terms. If you disagree, you should not use the services.

These Terms apply to your use of our mobile application ("App") or any service provided through the App, including all materials, data, and user-generated content available through the App or Service. Please also review our Privacy Policy, which is part of these Terms and describes how we handle your personal information.

The App and the Service are owned and operated by Yodo App, and your access to and use of the Service is governed by these Terms. If you use the App or any part of the Service, you agree to be bound by these terms and conditions. If you do not agree to all the terms, you may not access the App or use the Service. Nothing in this Agreement gives any rights or benefits to third parties.

ARBITRATION NOTICE:

We want to inform you upfront that these Terms include an arbitration clause. Except for specific types of disputes mentioned in that clause, you and Yodo agree that any disputes will be resolved through mandatory binding arbitration. You and Yodo waive any right to participate in a class-action lawsuit or class-wide arbitration.

1. Who Can Use the Services

You must be at least 18 years old to create an account or use the Services. Some services may require you to be older, and you should review the relevant terms carefully.

• You can form a legally binding contract with Yodo;
• You will comply with these Terms and all applicable laws and regulations.

If you're using the Services on behalf of a business or another entity, you confirm that you have the authority to agree to these Terms and grant licenses as set forth in these Terms. If you're representing a U.S. or Chinese government entity, you agree to abide by the relevant amendments to Yodo's Terms of Service for government users.

By using the Service, you confirm that you are at least 18 years old. If this information is not accurate, Yodo is not liable, as we cannot verify user age. If you are under 18, you may only use the Service with the approval of a parent or guardian. Please review these Terms together with your parent or guardian to ensure both of you understand and agree to them.

2. Rights We Grant You

Yodo grants you a personal, worldwide, royalty-free, non-assignable, nonexclusive, revocable, and non-sublicensable license to use the Services. This license is solely for the purpose of enjoying the benefits provided by the Service, in accordance with these Terms and our policies.

Any software we provide may automatically download and install updates or new features. You can manage these automatic downloads through your device's settings.

You may not copy, modify, distribute, sell, or lease any part of the Services or reverse engineer or attempt to extract the source code, unless permitted by applicable laws or with written permission from Yodo.

3. Rights You Grant Us

By using our Services, you retain ownership of your content, but you grant Yodo a worldwide, royalty-free, sublicensable, and transferable license to use, host, store, display, modify, and distribute your content for the purposes of operating, promoting, and improving the Services.

If you contribute content to public or crowd-sourced areas of the Service, such as "Local," you grant Yodo a broader license to use that content in perpetuity and across all media formats, including promotional purposes. You also grant Yodo and our partners the right to use your name, likeness, and any content you submit.

4. Content from Other Users

The content on our Services may be provided by users, publishers, and other third parties. We reserve the right to review and remove any content that violates these Terms, but we do not guarantee the review of all content.

We do not endorse, support, or guarantee the accuracy of any content submitted by others. You use such content at your own risk, and waive any legal claims against us related to this content.

5. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and transfer your personal information while using the Services.

6. Respecting Others' Rights

You agree not to upload, post, or share content that violates someone else's intellectual property, privacy rights, or is harmful, abusive, or illegal. Yodo will take action, including content removal, if these Terms are violated.

You also agree not to engage in activities such as hacking, spamming, distributing malicious code, or attempting to gain unauthorized access to the Services.

7. Respecting Copyright

You agree to only upload content you have the legal right to use. If you believe your copyrighted work has been infringed on by content hosted on Yodo, please file a complaint through our designated channels.

8. Safety

While Yodo aims to keep the Services safe, it is your responsibility not to use the Services for illegal activities or actions that could harm others or disrupt the Service. This includes refraining from posting inappropriate content or engaging in harmful activities.

9. Your Account

You are responsible for maintaining the security of your account and password. If your account is compromised, contact Yodo immediately for support.

10. Purchases and Payments

If you purchase any Services or virtual goods, those transactions are processed by third-party providers like Apple's iTunes or Google Play. Prices may vary, and you can manage your subscriptions or make cancellations through those platforms.

Once a purchase is completed, it is non-refundable unless otherwise required by law. We also reserve the right to modify, suspend, or discontinue virtual goods at any time.

11. Coins

Yodo may provide virtual currency ("Coins") that can be used to purchase virtual goods within the Service. Coins are not real money and cannot be exchanged for real-world currency. They are granted under a personal, revocable license and are non-transferable. If your account is terminated, all Coins will be forfeited. We are not liable for any loss of Coins due to technical errors or hacking.

12. Subscription

If you subscribe to a service, such as the Host Card subscription, the payment will be charged to your iTunes account. You can manage your subscription settings and cancel auto-renewal via iTunes.

13. Data Charges and Mobile Phones

You are responsible for any mobile charges incurred from using the Services. Please check with your service provider to understand potential charges.

14. Third-Party Services

If third-party services are included within the Yodo Services, their terms govern your relationship with them. Yodo is not responsible for these third-party terms or their actions.

15. Modifications and Termination

Yodo may update, modify, or terminate the Services at any time without prior notice. We may also terminate your account for violations of these Terms.

16. Indemnity

You agree to indemnify Yodo against any claims, damages, or legal costs arising from your use of the Services or breach of these Terms.

17. Disclaimers

Yodo does not guarantee uninterrupted or error-free service. The Services are provided "as is" without any warranties, and we are not liable for any issues that may arise during use.

18. Limitation of Liability

Yodo's liability is limited to the greater of $100 or the amount you paid us in the past 12 months. We are not responsible for indirect or consequential damages.

19. Arbitration and Class Waiver

All disputes between you and Yodo will be resolved by arbitration. You waive the right to participate in class actions or group arbitrations. This arbitration agreement is binding unless you opt out.

20. Child Safety

Our Services are not intended for children under 18. We comply with child protection laws and have strong measures in place to prevent abuse and exploitation.

21. Choice of Law

These Terms are governed by the laws of the United States, excluding conflict-of-law principles.

22. Severability

If any provision is unenforceable, the remaining provisions will still be valid.

23. Additional Terms

Additional terms may apply to specific Services, which become part of your agreement if you use those Services.

24. Final Terms

These Terms represent the entire agreement between you and Yodo. If we do not enforce a provision, it does not waive our right to do so in the future.
